📜 Terms & Conditions — Faltec X Pty Ltd

These Terms & Conditions (“Terms”) govern your use of the Faltec X website and services. By engaging our services, you agree to be bound by these Terms in accordance with Australian Consumer Law and the laws of South Australia.

1. Definitions

“Client”, “you”, “your” means the person or business engaging our services.
“Services” means website design, development, app development, SEO, digital support, and related offerings.
“Deliverables” means completed websites, apps, designs, or other outputs produced by Faltec X.
“Third-Party Materials” means templates, themes, plugins, stock images, fonts, AI-generated assets, or other materials supplied by external providers such as Envato.

2. Quotes & Proposals

Quotes are valid for 30 days unless stated otherwise.
Work begins once the quote is accepted in writing and the agreed deposit is received.

3. Payment Terms

A deposit (typically 30–50%) is required before work commences.
The balance is due on completion or as per agreed milestones.
Late payments may incur interest or suspension of services.

4. Client Responsibilities

Provide timely content, feedback, and approvals.
Ensure all materials (text, images, logos) supplied are owned or properly licensed.
Failure to provide required materials may delay project delivery.

5. Intellectual Property

All content, design, code, and graphics created by Faltec X remain our property until full payment is received.
Upon full payment, ownership of the final Deliverables passes to the Client, excluding Third-Party Materials (see section 6).
Faltec X retains the right to display completed work in our portfolio unless otherwise agreed in writing.

6. Third-Party Materials & Licences

Our Services may include Third-Party Materials (templates, themes, plugins, stock images, fonts, AI assets) sourced under valid licences, including through Envato Elements.
Faltec X ensures all Third-Party Materials are properly licensed at the time of delivery.
Ongoing use of some Third-Party Materials may require the Client to obtain their own licence (e.g. for updates, support, or subscription-based tools).
Faltec X is not responsible for discontinued or changed third-party products, services, or licences.

7. Stock, Royalty-Free & AI-Generated Assets

Deliverables may include royalty-free stock images, audio, video, or AI-generated assets.
These assets are supplied under licence but are non-exclusive. Faltec X does not guarantee exclusivity of stock or AI-generated materials.
Clients are responsible for reviewing and approving final assets before use.

8. Revisions & Scope

Quotes include a reasonable number of revisions (specified in proposal).
Work outside scope is billed at agreed hourly/daily rates.

9. Support & Maintenance

Completed projects include a 30-day bug-fix period (unless otherwise agreed).
Ongoing support and maintenance are available under a separate agreement.

10. Confidentiality

Both parties agree to keep confidential information secure and not disclose it without prior consent.

11. Limitation of Liability

To the extent permitted by law, Faltec X is not liable for indirect or consequential losses.
Our liability is limited to the fees paid for the relevant Services.

12. Termination

Either party may terminate with written notice if the other breaches these Terms.
On termination, the Client must pay for all work completed to date.

13. Copyright & Trademarks

“All other logos, trademarks, and images remain the property of their respective owners.”
Stock, AI, or third-party licensed images remain subject to their original licence terms.

14. Governing Law

These Terms are governed by the laws of South Australia, Australia.

15. Dispute Resolution

Parties agree to attempt resolution through negotiation or mediation before pursuing court action.

16. Amendments

Faltec X may update these Terms from time to time. Updated Terms will be posted on our website.
